Terms of Service

These Terms of Service ("Terms") govern your use of Lio, a macOS application, and the website at www.lioplayer.com (together, the "Service"). Lio is operated by Barel Oved, an individual based in Israel ("we", "us", "our"). By downloading, installing, or using Lio, you agree to these Terms. If you do not agree, please do not use the Service.
These Terms should be read together with our Privacy Policy and Refund Policy.
1. The app
Lio is a native macOS music practice app. It slows down, speeds up, pitch-shifts, and loops sections of audio files you provide. All audio analysis and processing happens on your own Mac. Your audio files are never uploaded to us.
2. Your account
Some features require a free account, created with your email address. You are responsible for keeping your account secure and for any activity under it. You must provide accurate information and be at least 18 years old, or the age of legal majority in your country, or use the Service with permission from a parent or legal guardian.
3. Free and Pro features
Lio offers free features and a paid "Pro" upgrade. Pro may be available as a one-time purchase, subscription, or both. The current features, prices, and purchase options are shown at www.lioplayer.com or at checkout and may change over time.
A one-time purchase gives you access to the Pro features included with that purchase type, but does not guarantee access to all future paid products, major new versions, subscription-only services, or separately sold features unless we clearly say otherwise.
4. Payments, billing, and the merchant of record
Purchases are processed by Lemon Squeezy, our authorised reseller and Merchant of Record. When you buy Pro, your purchase is a transaction with Lemon Squeezy, who handle payment, billing, applicable taxes, refunds, chargebacks, and payment compliance. We do not see or store your full payment-card details.
Subscriptions renew automatically until cancelled. You can cancel at any time and keep access until the end of the paid period. Refunds are covered by our Refund Policy and any mandatory consumer rights that apply in your country.
5. Free trial
Paid plans may include a free trial of Pro. Where we offer a trial without requiring a payment card, you will not be charged automatically when the trial ends. If you do not purchase before the trial ends, Pro features will lock again.
6. Your responsibilities and content
You may only use Lio with audio you own or have the right to use. You are solely responsible for your audio files and for respecting the copyright and other rights of others. You agree not to:
- Use the Service to infringe anyone's intellectual-property or other rights;
- Copy, modify, reverse-engineer, resell, sublicense, or redistribute the app except where the law allows;
- Circumvent licensing or use the Service in a way that harms it or other users.
7. Recording, copyright, and third-party services
Some features may allow you to record, process, separate, pitch-shift, loop, or export audio from files or other apps. You are solely responsible for ensuring that your use of these features is lawful and does not violate copyright, licence terms, DRM restrictions, platform rules, or third-party rights.
8. Updates and compatibility
We may update, modify, add, or remove features from Lio from time to time. Some features may require a supported version of macOS, compatible Apple hardware, an account, a valid licence, or occasional internet access for licence verification.
9. Our intellectual property
Lio, its name, logo, design, and code are owned by us and protected by law. These Terms grant you a personal, non-exclusive, non-transferable licence to use the app; they do not transfer ownership of anything to you.
10. Your files and backups
You are responsible for keeping backups of your files, projects, recordings, loops, markers, and settings. We are not responsible for loss of local files or data except where the law says otherwise.
11. Disclaimer
The Service is provided "as is" and "as available", without warranties of any kind, to the fullest extent the law allows. We do not promise the Service will be uninterrupted, error-free, or fit for a particular purpose.
12. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages, or for any loss of data, arising from your use of the Service. Where liability cannot be excluded or limited under applicable law, our liability is limited to the maximum extent permitted by that law, and otherwise to the amount you paid for Lio in the 12 months before the claim.
13. Termination
You may stop using Lio and delete your account at any time. We may suspend or end access if you breach these Terms or misuse the Service.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the "last updated" date above. If changes are material, we will take reasonable steps to notify you, such as by email, in-app notice, or website notice. Continued use of the Service after a change means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. Any dispute will be handled by the competent courts of Israel, unless mandatory consumer-protection law in your country says otherwise. Nothing in these Terms limits any refund, cancellation, or consumer rights you may have under applicable law.
